COMPANY STRUCTURE AND REGISTRATION PROCEDURES IN THE BELIZE

What is more confidential - bearer-shares or a nominee shareholder?

Both options are about the same in terms of secrecy. However, usage of nominee shareholder is more viable in long-term, as there is a general tendency in the offshore financial services industry to restrict and immobilise the usage of bearer shares. One particular drawback is that many banks absolutely refuse to open accounts for offshore companies which have any part of their capital issued in bearer shares. We do not particularly recommend using bearer shares in offshore incorporations, especially if those offshore companies are intended for active trading. A Belize IBC can be registered with bearer shares. However, the bearer-share certificates of a Belize IBC would have to remain in custody with the Registered Agent, who would also need to know who are the actual owners of the bearer-shares. Therefore, the useability of bearer-shares in Belize IBC is somewhat limited.
